1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Title ("Title," "we," "our," or "us") governing your access to and use of our website at https://www.titlebm.com and our messaging platform and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

2. Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement and, if using the Services on behalf of an organization, that you have authority to bind that entity to these Terms.

3. Description of Services

Title provides a platform for creating, previewing, and delivering Rich Communication Services (RCS) and other business messaging experiences. The Services may include message creation tools, previews, templates, and related functionality.

Certain features may be offered in beta, limited-availability, or pre-release form and may change prior to full release. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

4. Accounts and Access

Some features of the Services may require registration or account access. If you create an account, you agree to provide accurate and complete information and to maintain the security of your credentials.

You are responsible for all activities that occur under your account and must notify us promptly of any unauthorized use.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

• Send unsolicited, deceptive, or unauthorized messages
• Message recipients without proper consent
• Transmit unlawful, harmful, abusive, fraudulent, or objectionable content
• Impersonate any person or entity or misrepresent affiliation
• Interfere with or disrupt the Services or related systems
• Attempt to gain unauthorized access to any portion of the Services

6. Messaging Compliance and Consent

If you use the Services to send messages, you are solely responsible for compliance with all applicable laws, regulations, and carrier policies, including but not limited to the Telephone Consumer Protection Act (TCPA) and applicable RCS requirements.

This includes responsibility for:

• Obtaining explicit consent from recipients
• Providing clear opt-out mechanisms
• Honoring opt-out requests (e.g., STOP) promptly
• Maintaining any records of consent required by law

Title does not provide legal advice and does not verify whether you have obtained proper consent.

7. Beta Features

Certain features may be provided in beta and are offered "as is" for testing and evaluation purposes. Beta features may be incomplete, unstable, or change without notice.

Title makes no guarantees regarding the availability or performance of beta features.

8. Intellectual Property

The Services and all related content, software, trademarks, and materials are owned by or licensed to Title and are protected by intellectual property laws.

You retain ownership of content you submit through the Services ("User Content"), but grant Title a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and transmit such content solely for the purpose of providing and improving the Services.

9. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Title disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Title shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services.

In no event shall Title's total liability exceed the amount paid by you to Title, if any, during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Title from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of:

• Your use of the Services
• Your violation of these Terms
• Your failure to obtain proper messaging consent

12. Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms or applicable laws. Upon termination, your right to use the Services will immediately cease.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the Commonwealth of Pennsylvania, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with an updated "Last updated" date. Continued use of the Services constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Title regarding the Services and supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral.
